Introduction
Welcome to AFB Digital Solutions. These Terms and Conditions govern your relationship with AFB Digital Solutions, a UK-based sole trader business providing digital marketing services. By engaging with our services, you agree to the following terms.
Services
AFB Digital Solutions provides digital marketing services including website and application design and development, search engine optimization (SEO), pay-per-click (PPC) advertising, and social media marketing and management (SMM). The specific scope of services and deliverables will be confirmed in a written proposal or agreement prior to the commencement of any work.
Payment Terms
All services are provided on a monthly retainer basis unless otherwise agreed in writing. A 50% upfront payment is required before any work begins, with the remaining balance due upon completion or at a milestone agreed between both parties. Invoices are issued in accordance with the agreed billing cycle and must be paid within 30 calendar days of the invoice date (NET 30). Failure to make timely payments may result in the suspension of services and may incur late fees or statutory interest under the UK Late Payment of Commercial Debts (Interest) Act 1998.
Refunds
Payments made to AFB Digital Solutions are non-refundable unless otherwise agreed in writing. Refunds are not guaranteed and are granted solely at the discretion of AFB Digital Solutions following a written request from the client.
Client Responsibilities
Clients are expected to provide all required information, content, access, and feedback necessary to complete the work. It is the client’s responsibility to ensure that all provided materials are accurate, lawful, and do not infringe upon the rights of any third party. Failure to provide timely feedback or content may result in delays or additional charges.
Revisions and Timelines
Unless specifically stated, each deliverable includes up to two rounds of revisions. Additional revisions or changes outside the original scope may be subject to additional charges. Timelines provided for project completion are estimates and may vary depending on the complexity of the project and the client’s level of responsiveness.
Confidentiality
Although no formal non-disclosure agreement is required, AFB Digital Solutions will treat all sensitive business information shared during a project as confidential and will not disclose such information to any third party without consent. Clients also agree not to share confidential details of our internal processes or pricing with others.
Portfolio Use
Unless the client specifically requests otherwise in writing, AFB Digital Solutions reserves the right to display completed projects, including branding, design, and marketing results, in its portfolio, on its website, and across marketing channels.
Limitation of Liability
AFB Digital Solutions shall not be liable for any indirect, incidental, or consequential damages that may arise from the use of its services. In all cases, liability is limited to the total amount paid by the client for the specific services in question.
Termination
Either party may terminate an ongoing service or project with 14 days’ written notice. In the event of termination, the client is responsible for payment of all work completed and any costs incurred up to the termination date. Final deliverables will be provided once full payment is received.
Governing Law
These Terms and Conditions are governed by the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
